Taxation Law

It was Albert Einstein who said, “The hardest thing to understand in the world is the income tax.” Few would argue that taxation has simplified over the years. As if the inherent vicissitudes of doing business and managing assets weren’t challenging enough, modern tax policies can pose a host of vexing questions and concerns. Are you sure you’re not paying more taxes than you have to? Have you taken every possible step to reduce the likelihood of a distracting and costly audit?  Should you get audited, are you as prepared as you could be? Do you have an ally—someone with expertise in both the legal and the bottom-line aspects of taxation, who will advocate for your interests and work tirelessly to achieve the best possible outcomes for you?

The members of the taxation team at Paul Frank + Collins are more than just skilled attorneys with extensive knowledge of tax codes. We are taxpayer representatives who specialize in solving complex problems and achieving tax efficiency; we are business counselors committed to our clients’ success.  We are prepared to assist in the structuring of any transaction and review any contractual relationship with respect to all federal income tax, state income tax, and sales tax issues. We counsel clients confronting IRS and state audits, advising them whether or not they should contest the audit results, and, if so, what options are available to them.

Tax implications arise in multiple areas. Paul Frank + Collins also provides tax counsel to clients involved with mergers and acquisitions, business formation, employment compensation and benefits structuring, executive and employee deferred compensation planning, the choosing and formulation of securities divestures, and long-term investment calculations. Furthermore, we have expertise in assisting clients in structuring tax-free exchanges of property (usually real estate).

While accountants are essential in assisting clients with general tax issues and tax return preparation, tax attorneys are often better suited to address complex transactional issues and complex taxation issues such as structuring a merger or resolving an IRS dispute. Ideally, accountants and tax attorneys work together on behalf of the client, thereby focusing a maximum of scrutiny upon crucial concerns. In this regard, Paul Frank + Collins routinely serves in an advisory capacity to accountants with considerable, limited, or no tax expertise.

With a robust international practice, Paul Frank + Collins is well positioned to offer federal and state tax advice to foreign clients doing business in the United States. We can also provide advice or foreign tax counsel referrals to U.S. companies entering foreign markets.
