Commercial Finance

Paul Frank + Collins represents a number of local, regional and national banking institutions and trust companies in connection with transactions and internal legal matters. We also represent borrowers and other bank customers in their dealings with financial institutions. Our services for banks include advice on and participation in regulatory, lending, work-out, fiduciary (individual and corporate), secured transactions, computer software, internet banking and executive compensation matters.

A major focus of this area of the law is participation in financing transactions of various types. Paul Frank + Collins lawyers have extensive experience in business financing and refinancing, leveraged acquisitions, asset based lending, intangibles lending, mortgage lending, bond financing, participation financing, and many other types of commercial financing.

Our attorneys are versed in the tax ramifications of each of the foregoing types of transactions.

In the area of fiduciary services we advise banks and other fiduciaries on their rights and obligations as fiduciaries, tax matters and document interpretation. We assist fiduciaries with tax compliance matters, as well as in litigation. We have substantial experience in advising banks with respect to bond indentures and related matters. We also prepare standard trusts, common trust fund documents and related agreements.

Paul Frank + Collins has experience with matters primarily or uniquely affecting financial institutions, such as letters of credit, deposits and collections, consumer protection laws, electronic fund transfers and like matters.
