A substantial portion of Mr. Petrosino’s practice consists of advising businesses of all sizes in the areas of mergers and acquisitions, the formation and organization of new business ventures, federal and state taxation, commercial lending (including bond financing), supplier and customer contract preparation, intellectual property, and general commercial law. Creating a new business can be incredibly exciting and incredibly harrowing. Mr. Petrosino has helped many people through the legal aspects of business formation and organization. He finds it quite rewarding to play a part in the fulfillment of entrepreneurial dreams.

In the area of mergers and acquisitions, Mr. Petrosino provides thorough guidance about what buyers and sellers can expect during the negotiation, due diligence, and closing process. Many sellers feel overwhelmed with information disclosure requests made by a potential buyer, and they are very concerned about confidentiality. Buyers want to know what they are buying so they can assess whether the price they are paying is fair. Mr. Petrosino has significant experience with helping buyers and sellers safely traverse the acquisition landscape and close the deal.

On the commercial lending side, Mr. Petrosino has represented both banks and borrowers in many multi-million dollar loans.  Documenting a loan transaction can be very simple, but it can also be very complex.  One of the major areas of complexity can be collateral issues, and Mr. Petrosino has a lot of experience working through them.  Mr. Petrosino has also been involved in a number of tax exempt bond financing transactions; regardless of whether he is representing the borrower, the trustee, or the credit enhancer, Mr. Petrosino is able to bring a strong understanding of the tax exempt bond financing process to the table.   

Mr. Petrosino is also well versed with employment contracts, noncompetition agreements, nonsolicitation agreements, confidentiality agreements, and employee separation agreements.  He also has delved into the intricacies of the Fair Labor Standards Act, laws related to reductions in force, and other laws and regulations governing employers.  Not surprisingly, employment-related issues are some of the toughest issues Mr. Petrosino’s clients face.  Mercifully, Mr. Petrosino is able to provide counsel that helps employers diffuse what can be tense situations.  When his clients are caught in the legal morass that is employment law, Mr. Petrosino works hard to help them regain a firm footing.  Of course, Mr. Petrosino espouses prevention and sound employment practices as the best remedy to help avoid getting caught in the legal morass in the first place.      

Mr. Petrosino enjoys being a regular speaker at National Business Institute and Lorman Education Services seminars. He has covered topics such as choosing a business entity, weighing the pros and cons of limited liability companies, Vermont sales and use tax, and applying various commercial law concepts to the Internet. Mr. Petrosino has also been a speaker at Vermont Bar Organization and Vermont Paralegal Organization seminars.
