Ms. Straith is a member of the Business Services and Commercial Finance teams teams at Paul Frank + Collins. She has extensive experience drafting a broad range of contracts for businesses, such as shareholder agreements, software licenses, and consulting agreements. She regularly handles stock issuances and redemptions as well as private securities offerings. She believes in working with her clients’ other professional advisors toward achieving the best possible outcomes for her clients.

Clients depend on Ms. Straith to guide them efficiently and confidently through the process of acquiring or selling a business. Her extensive experience with drafting and negotiating asset purchase agreements, stock purchase agreements, and related documents; her deep appreciation of the importance of the transaction to the business owner; and her unwavering commitment to helping the owner accomplish his or her desires makes her an important ally in the arena of mergers and acquisitions.

In the area of financing transactions, Ms. Straith has over twenty years of experience representing banks in complex commercial lending transactions. She recognizes the importance of the relationship between lender and borrower, and she is committed to preserving a positive relationship and never losing sight of the ultimate goal: the successful deal. Ms. Straith is particularly skilled at perfecting the lender’s security interest in a wide range of assets, including intellectual property and government receivables.

In her intellectual property law work, Ms. Straith protects her clients’ trademarks and copyrights. She handles trademark registration for companies throughout the U.S., Canada, and Europe, and she drafts cease and desist letters and handles oppositions when the need arises. She has extensive experience with drafting and negotiating multi-million dollar software licenses and software maintenance agreements.
