Kathy Z. Zhou Associate
Kathy Zhou is a member of our Business + Transactions, Commercial Finance, Municipal Law + Public Finance, and Taxation teams at Paul Frank + Collins. She focuses primarily on advising entrepreneurs, business clients, banks, property developers, municipalities, and investors in a variety of areas including business law, contract law, and public finance.
Prior to joining PF+C, Kathy served as a Law Clerk with the Vermont Superior Court in Rutland County. She has also worked in-house at a national defense contractor and interned with the Suffolk County District Attorney’s Office in Boston, Massachusetts.

Representative Transactions
Served as bond counsel to the City of Burlington in the issuance of both tax-exempt and taxable bonds, including bonds for the City’s Airport, Electric, Water, Wastewater, and Stormwater departments;
Served as bond counsel to the City of Winooski in the issuance of tax-exempt bonds and notes;
Served as lender’s counsel in connection with a number of loans to Vermont electric utilities and a gas utility
Represented a public solid waste entity in issuance of bonds to finance construction of a materials recovery facility;
Represented both buyers and sellers in various asset and equity purchase/sale transactions;
Represented various private funds in matters relating to fund structure, preparation of offering documents, and compliance;
Advised Vermont businesses in matters of formation, organization, governance, and dissolution; and
Assisted various nonprofit organizations in obtaining tax-exempt status.
